Terms of Service

Indie Cntrl is a content management platform that allows independent creative professionals to distribute and promote their content across multiple platforms simultaneously. Indie Cntrl is operated by Seun Sotimirin, based in the Greater Toronto Area, Canada.

To use Indie Cntrl you must:

• Be at least 13 years of age
• Be at least 18 years of age to access any paid features
• Have the legal authority to enter into these terms
• Not be prohibited from using Indie Cntrl under applicable laws

By using Indie Cntrl you represent that you meet these requirements.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring your account information is accurate and up to date
• Notifying us immediately of any unauthorised use of your account

You may not share your account with others or create accounts for others without their consent.

Indie Cntrl allows you to connect third party platforms including Instagram, Pinterest, Spotify, Etsy, TikTok, Facebook, LinkedIn, YouTube, Threads, Snapchat and others. By connecting a platform you:

• Represent that you have the right to access and post to that account
• Authorise Indie Cntrl to publish content to that platform on your behalf
• Agree that your use of each connected platform is also governed by that platform's own terms of service
• Acknowledge that Indie Cntrl is not responsible for changes to third party platform APIs or policies that may affect our ability to post to those platforms

You can disconnect any platform at any time from Settings → Connected accounts.

You retain full ownership of all content you upload to Indie Cntrl. By uploading content you grant Indie Cntrl a limited licence to store and transmit your content solely for the purpose of providing the Indie Cntrl service.

You represent and warrant that:

• You own or have the rights to all content you upload
• Your content does not infringe the intellectual property rights of any third party
• Your content does not violate any applicable laws or the terms of any connected platform
• You have the right to publish your content on any platform you post to through Indie Cntrl

We reserve the right to remove content that violates these terms or applicable law.

You agree not to use Indie Cntrl to:

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory or obscene
• Infringe the intellectual property rights of others
• Impersonate any person or entity
• Spam or send unsolicited messages
• Attempt to gain unauthorised access to Indie Cntrl or connected platforms
• Use automated means to access Indie Cntrl other than through our official API
• Violate the terms of service of any platform connected to Indie Cntrl
• Engage in any activity that could damage, disable or impair Indie Cntrl or its servers

Indie Cntrl offers both free and paid subscription plans.

For paid plans:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except where required by law
• We may change subscription prices with 30 days notice
• You may cancel your subscription at any time from Settings → Subscription. Access continues until the end of the billing period.
• Failed payments may result in suspension of your account

Indie Cntrl and its original content, features and functionality are owned by Indie Cntrl and are protected by international copyright, trademark and other intellectual property laws.

The Indie Cntrl name, logo and branding may not be used without our prior written permission.

You retain all rights to your own content as described in the Your Content section above.

Indie Cntrl is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

We do not warrant that:

• Indie Cntrl will be uninterrupted or error-free
• Content published through Indie Cntrl will reach its intended audience
• Connected platform integrations will remain available (third party platforms may change their APIs or policies at any time)
• Results from using Indie Cntrl will meet your expectations

To the maximum extent permitted by law, Indie Cntrl shall not be liable for:

• Any indirect, incidental, special, consequential or punitive damages
• Loss of profits, data, goodwill or other intangible losses
• Damages resulting from third party platform changes, outages or policy updates
• Any content posted through Indie Cntrl by users

Our total liability to you for any claim shall not exceed the amount you paid to Indie Cntrl in the 12 months preceding the claim.

We may suspend or terminate your account at any time if you violate these terms or engage in activity that harms Indie Cntrl or other users.

You may delete your account at any time from Settings → Account. Upon deletion we will remove your personal data within 30 days.

Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers and Limitation of Liability.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.

We may update these Terms of Service from time to time. We will notify you of significant changes by email or by a notice within the Indie Cntrl app at least 30 days before changes take effect.

Your continued use of Indie Cntrl after changes take effect constitutes your acceptance of the updated terms.
